AbbVie (ABBV) completed its $10.9 billion Apogee Therapeutics acquisition, expanding its pipeline across several major inflammatory disease markets. ABBV stock closed 0.67% higher at $261.72 and added 0.17% to $262.16 in pre-market trading. The deal strengthens AbbVie’s immunology portfolio while adding several clinical antibody programs with long-term commercial potential.
AbbVie Completes $10.9 Billion Apogee Therapeutics Acquisition
AbbVie acquired all outstanding Apogee shares for $135.11 each in cash under the completed transaction. The deal valued Apogee’s total equity at approximately $10.9 billion and transferred its operations to AbbVie. Apogee shares stopped trading on Nasdaq before the market opened on September 3, 2026.
The acquisition expands AbbVie’s position across immunology and inflammation, two areas central to its long-term growth strategy. AbbVie now controls antibody programs targeting atopic dermatitis, asthma, chronic obstructive pulmonary disease, and other inflammatory conditions. The company can also apply its development, regulatory, and commercial infrastructure to advance these programs.
AbbVie entered the transaction as it continues building its pipeline beyond established immunology medicines. The company has used acquisitions and internal research to add potential therapies across several therapeutic categories. Apogee now provides another set of clinical assets that could support future product launches.
Zumilokibart Strengthens AbbVie’s Immunology Pipeline
Zumilokibart represents the leading program within Apogee’s pipeline and targets IL-13, which drives type 2 inflammation. Researchers have linked this pathway to atopic dermatitis, asthma, and several other inflammatory diseases. AbbVie plans to develop the treatment as a potential option with strong efficacy and less frequent dosing.
Phase 2 testing showed significant skin improvement among approximately two-thirds of treated atopic dermatitis patients after 16 weeks. The study also recorded improvements in itching and broader disease control during the treatment period. Longer-term results supported possible dosing schedules ranging from quarterly injections to twice-yearly treatment.
Apogee also developed APG273, which combines zumilokibart with the experimental antibody APG333. APG333 blocks TSLP, a signaling protein involved in early inflammatory responses inside the lungs. Phase 1 testing showed sustained suppression of relevant inflammatory markers for up to six months after dosing.
AbbVie Maintains 2026 Earnings Outlook After Deal
AbbVie expects the Apogee acquisition to reduce adjusted diluted earnings by $0.14 per share during 2026. The company expects a larger impact of about $0.46 per share during 2027. However, AbbVie expects the transaction to begin contributing positively to earnings in 2032.
Despite those costs, AbbVie maintained its full-year 2026 adjusted diluted earnings guidance. The company still expects adjusted diluted EPS between $13.87 and $14.07 for the year. That range already includes the expected $0.14 per-share dilution from the completed Apogee transaction.
AbbVie also maintained its third-quarter adjusted diluted EPS outlook between $3.84 and $3.88. Its annual guidance includes a $0.58 per-share impact from acquired research and development expenses through the second quarter. Meanwhile, the completed Apogee deal gives AbbVie a broader immunology pipeline alongside its existing commercial portfolio.
