Joby Aviation is executing a significant expansion into the defense sector. The electric air taxi developer disclosed Tuesday its intention to purchase Ohio-based Resonant Sciences in a transaction valued at roughly $500 million.
Shares of JOBY dropped 6.5% during premarket hours after the revelation, though losses moderated later with the stock finishing the session up approximately 1%.
The transaction structure includes $450 million in cash consideration plus $50 million worth of Joby shares. Completion is anticipated during the first six months of 2027.
Resonant Sciences specializes in designing, producing, and supplying sophisticated radio-frequency and mission systems to U.S. national security agencies. Following deal completion, Resonant will function as Joby’s exclusive defense operations unit.
The merged entity will control approximately one million square feet of manufacturing, integration, and testing facilities throughout the Dayton, Ohio area.
Joby’s civilian air taxi operations will remain a distinct entity, maintaining its concentration on electric vertical take-off and landing (eVTOL) aircraft for commercial applications.
Simultaneously, Joby revealed a new at-the-market equity offering program capped at $750 million. Leadership is not obligated to execute the complete amount right away. The program provides the organization with latitude to distribute new shares gradually.

JPMorgan Acknowledges Gains, Yet Maintains Negative Outlook
JPMorgan analyst James Kirby recognized favorable advancements in Joby’s operational execution. Five aircraft are presently operational, with an additional 12 advancing through manufacturing stages, representing a four-unit increase from the prior quarter.
Joby is also gearing up to commence operations through the eVTOL Integration Pilot Program in Texas during the coming month. Revenue-generating passenger services could start before year-end, preceding complete commercial authorization.
Kirby observed that transporting passengers prior to complete certification would constitute “an incremental positive for AAM.”
Nevertheless, Kirby expressed concerns regarding the FAA certification timeline. Stage 5 progressed five percentage points throughout the quarter, whereas Stage 4 advanced merely one percentage point. Kirby stated “investors were hoping for more tangible progression.”
Kirby preserved his Underweight (Sell) recommendation and $7 price objective for JOBY, commenting “the current progress is fully baked in.” This objective indicates 32% downside potential from present trading levels.
