Nebius Group (NBIS) has completed the pricing of a $5 billion convertible bond offering designed to accelerate its data center infrastructure buildout. The offering size increased from the initial $4.5 billion announcement and comprises two distinct note tranches. NBIS stock declined 9.87% to close at $223.90, then fell an additional 1.74% to $220.00 in pre-market activity.
Convertible Bond Offering Details Unveiled
Nebius Group successfully priced $3 billion in 0.50% convertible senior notes maturing in 2030. Additionally, the company issued $2 billion in 4.50% convertible senior notes with a 2034 maturity date. Both tranches were marketed exclusively to qualified institutional investors via a private Rule 144A placement.
Settlement for the transaction is anticipated on August 24, pending customary closing conditions. Nebius has also extended options to purchasers allowing them to acquire an additional $450 million of the 2030 notes. Similarly, buyers may purchase up to $300 million more of the 2034 notes during the designated exercise window.
After deducting underwriting fees and estimated transaction expenses, Nebius anticipates net proceeds of approximately $4.94 billion. Should the additional purchase options be fully exercised, net proceeds could increase to roughly $5.68 billion. This expanded financing package provides Nebius with substantial capital for its ambitious infrastructure roadmap.
Infrastructure Investment Strategy Takes Shape
Nebius intends to allocate the proceeds toward ongoing business development and substantial infrastructure initiatives. The company has specifically earmarked funds for data center construction, facility expansions, and acquisition of critical computing hardware. A portion will also be reserved for general corporate needs.
This investment strategy aligns with Nebius Group’s objective to scale computing capabilities throughout its expanding data center network. The additional capital should facilitate equipment procurement and new site development. GPU acquisition represents a significant component of the company’s capital expenditure roadmap.
Both note series will rank as senior unsecured obligations and will distribute interest payments on a semi-annual basis. Interest disbursements are scheduled to commence on February 15, 2027, according to the respective indentures. U.S. Bank Trust Company has been appointed as trustee for both note series.
Conversion Terms and NBIS Stock Implications
The 2030 notes feature an initial conversion price of approximately $313.46 per Class A share. This represents a 40% premium relative to NBIS’s August 19 closing price of $223.90. Conversely, the 2034 notes establish a higher initial conversion price of roughly $324.65.
This 2034 conversion threshold reflects a 45% premium above the identical August 19 reference price. Upon maturity, accretion adjustments elevate the effective conversion prices to approximately $344.81 and $405.82, respectively. These figures translate to effective conversion premiums of roughly 54% and 81.3%.
Nebius has additionally arranged to exchange $800 million of outstanding convertible notes for approximately 15.8 million Class A shares. Participating noteholders may liquidate these shares or rebalance associated hedging strategies in public markets. Consequently, this exchange mechanism could create short-term downward pressure on NBIS shares, even as it fortifies Nebius Group’s long-term expansion financing.
