Shares of Nuburu, Inc. (BURU) plummeted 39.21% to $0.0727 even as the company successfully retired approximately $16.75 million in principal debt obligations. This debt elimination came on the heels of the firm’s recently concluded $38 million public offering, which provided the necessary capital to extinguish substantial liabilities. The company simultaneously progressed its defense sector expansion initiative centered on the pending Tekne acquisition and associated regulatory compliance procedures.
Company retires all outstanding debt following capital raise
NUBURU revealed the complete settlement of $15.5 million in remaining principal from its December 2025 debenture instrument. Additionally, the firm satisfied the entire $1.25 million principal associated with convertible notes originally issued in connection with the Lyocon S.r.l. transaction. These combined settlements erased roughly $16.75 million in total principal liabilities.
The debt retirement occurred mere days following the conclusion of its $38 million equity financing round. Consequently, zero principal balance remains under either debt instrument. Furthermore, the transaction permanently eliminates the monthly amortization obligations previously tied to the debenture facility.
This settlement also terminates the prior requirement to channel equity-line revenues toward debt obligations. Accordingly, Nuburu gains increased flexibility to deploy capital toward operational needs and strategic initiatives. Company leadership characterized these repayments as the initial achievement completed with proceeds from the recent public offering.
Additional capital earmarked for Tekne deal and defense initiatives
Nuburu intends to deploy remaining offering proceeds to fulfill financial guarantee obligations connected to Italy’s Golden Power regulatory examination. The firm continues pursuing its planned acquisition of a 70% majority stake in Tekne S.p.A. This transaction awaits regulatory clearance and satisfaction of additional closing prerequisites.
The company further intends to allocate residual funds toward working capital needs and transaction-related costs. Leadership aims to facilitate near-term implementation of its comprehensive Defense and Security infrastructure. This strategic framework integrates software solutions, photonics technology, electronic warfare systems, CEMA functionalities, defense mobility assets, and sophisticated manufacturing capabilities.
Executive management emphasized that retiring these obligations streamlines the firm’s capital architecture. Leadership noted the settlements honored commitments established following the recent capital raise. Meanwhile, organizational attention has pivoted primarily toward finalizing the Tekne transaction and scaling its integrated defense operations portfolio.
Over-the-counter trading persists during NYSE American appeal process
Nuburu’s equity securities remain available for trading on the OTC Pink marketplace under the BURU symbol following the halt of NYSE American trading activity. The organization maintains its status as a fully compliant reporting entity under Securities and Exchange Commission regulations. Management clarified that the current trading venue does not impact previously secured capital or executed debt settlements.
The firm anticipates providing ongoing market updates through mandatory regulatory disclosures, formal press releases, and investor relations channels. Leadership reiterated that available proceeds will fund the contemplated Tekne acquisition and associated financial obligations. These initiatives remain contingent upon regulatory authorizations and satisfaction of transaction closure requirements.
Nuburu additionally intends to file a prompt appeal requesting reconsideration of the NYSE Regulation staff’s determination. Moreover, the organization continues assessing potential remedies to rectify its share price deficiency condition. Management’s declared goal encompasses achieving compliance restoration and resuming NYSE American trading operations pursuant to applicable exchange protocols and current market circumstances.
