SoftBank experienced a 2.6% stock decline to 5,118.0 yen on Monday following its disclosure of plans to secure 1 trillion yen, approximately $6.3 billion, via a retail bond issuance.
This transaction represents Japan’s largest retail bond sale on record and is roughly twice the magnitude of SoftBank’s prior benchmark offering—a 600 billion yen bond placement finalized in April 2025.
Targeted at retail participants, the seven-year notes feature a preliminary interest rate corridor of 4.3% to 4.9%. The company anticipates finalizing the coupon rate by September 4.
The subscription window will open September 7 and close September 16, with issuance scheduled for September 17 and maturity dated September 16, 2033.
To finance its expanding artificial intelligence initiatives, SoftBank has employed a diversified funding approach combining debt instruments, bond issuances, and portfolio liquidations. Recent asset sales have included positions in Nvidia and T-Mobile to generate liquidity.
The Japanese conglomerate has allocated upwards of $60 billion toward OpenAI while simultaneously accelerating data center buildout to accommodate surging computational requirements.
Previous media coverage suggested SoftBank was examining the possibility of a margin loan collateralized by its OpenAI holdings, although no formal arrangement has materialized.
Financing Artificial Intelligence Ambitions
This bond transaction forms a critical component of SoftBank’s comprehensive capital strategy as it intensifies its commitment to artificial intelligence infrastructure development.
The magnitude of this fundraising effort underscores the substantial capital requirements SoftBank is managing. Securing $6.3 billion through a single bond placement represents a significant financial maneuver, even for an enterprise of this scale.
SoftBank’s initiative is part of a broader trend. Throughout Asia, technology enterprises are ramping up capital expenditures on AI-related infrastructure.
Broader Asian Market Dynamics
On Sunday, Chinese technology behemoth Alibaba unveiled a $10.2 billion equity placement aimed at financing what the company describes as comprehensive AI infrastructure development.
The simultaneous capital-raising activities from SoftBank and Alibaba underscore the substantial investment flows currently channeling into artificial intelligence throughout the region.
For SoftBank specifically, this retail bond sale provides access to fresh capital from individual investors, enabling the company to support its OpenAI obligations without immediately liquidating additional portfolio holdings.
The indicative coupon range of 4.3% to 4.9% will need to prove sufficiently attractive to draw adequate retail investor participation throughout the September 7-16 subscription period.
Management plans to announce the definitive coupon rate and final offering terms on September 4, prior to the bonds’ September 17 settlement date.
