Four Silver Lake-affiliated entities filed Form 144 notices covering 80,010 Class C shares worth about $42.75 million. The proposed transactions carry a Sept. 15 date, and the filings name Merrill Lynch as broker and the New York Stock Exchange as the trading venue.
The sellers include Silver Lake Partners IV, Silver Lake Partners V DE, Silver Lake Technology Investors IV, and Silver Lake Technology Investors V. Each entity converted Class B shares into Class C stock before the planned sales. Form 144 notices show an intent to sell, but they do not confirm that every proposed transaction occurred.
Silver Lake Reduces Dell Holdings
The notices extend a reduction in Silver Lake’s Dell position. Regulatory filings show Silver Lake-linked entities and related holders sold about 1.86 million Dell shares between June 9 and Sept. 8. Selling activity increased during September as DELL stock traded near stronger levels.
Silver Lake has held a long relationship with Dell Technologies. The private-equity firm worked with Michael Dell in 2013 to take the company private and supplied equity financing for the deal.
