Faraday Future (FFAI) shares fell 2.37% to $2.06 in Wednesday pre-market trading, further extending losses after closing 6.64% lower at $2.11. The decline came as Faraday Future announced another step to reduce financing-related dilution and strengthen its broader capital structure. The company cancelled more than 21 million incremental warrants directly tied to its March 2025 convertible note financing and obligations.

FFAI Cancels Warrants Linked to March 2025 Financing
Faraday Future signed incremental warrant termination agreements with every participating investor from its March 2025 financing round, securing full participation. Under those agreements, the company cancelled 21,021,369 outstanding incremental warrants issued during the first three completed financing closings. As a result, Faraday Future permanently removed the potential share dilution that could have followed future exercises of those warrants.
The cancelled warrants represented a substantial portion of the dilution exposure created by the company’s March 2025 financing structure. Using the current $5.00 conversion floor, those incremental warrants could have produced roughly 45% of maximum potential financing dilution. Therefore, their removal reduces future share issuance risk linked to the company’s remaining convertible note arrangements and potential dilution overhang.
Faraday Future also changed financing terms with the same March investors through another agreement dated August 20, 2026. That agreement removed obligations to issue common warrants and incremental warrants during any future closings under the financing. Together, both actions fully cancelled the common and incremental warrants associated with the March 2025 securities purchase agreement.
Capital Structure Changes Target Balance Sheet Pressure
On a fully diluted basis, Faraday Future said the cancellations remove about 57.48% of potential March financing dilution. The company expects the changes to improve its capital structure by lowering the number of securities potentially convertible into shares. However, the stock remained under pressure during Wednesday pre-market trading despite the sizeable reduction in potential future dilution.
The company also expects two financing optimization actions completed after the second quarter to reduce previously reported financing liabilities. Those liabilities totaled about $5.794 million in Faraday Future’s reported second-quarter financial results before these latest adjustments. Consequently, the company expects the actions to improve its balance sheet and lower liabilities currently measured at fair value.
Faraday Future has focused on reducing debt and dilution while reshaping obligations connected with its earlier financing arrangements. The latest warrant cancellations continue that effort and remove securities that could have expanded the company’s outstanding share count substantially. Meanwhile, FFAI’s pre-market decline shows the capital structure update still did not immediately reverse recent weakness across the stock.
