The agreement’s financial structure includes warrants granted to an Amazon-affiliated entity, allowing the purchase of up to 1,693,745 Generac shares at a strike price of $200.93 each. This translates to a potential equity investment exceeding $340 million.
Approximately 308,000 warrant shares have already reached vested status. The balance will vest incrementally as Amazon’s aggregate payments cross predetermined milestones. These warrants carry an expiration date of September 16, 2033.
